利用規約（エンドユーザー使用許諾契約）

本規約は、VEQ LIMITED LIABILITY CO.（以下「当社」）とGutenberg Labの利用者（以下「ユーザー」）との間で、本アプリおよび関連サービス（以下総称して「本サービス」）の利用条件を定めます。ユーザーは、本アプリをダウンロード、インストールまたは利用することで本規約に同意します。

1. サービスの内容

本サービスは、米国のテクノロジー関連ポッドキャストをもとに、毎朝のラジオ音声および朝刊ブリーフを提供するAI分析メディアです。原典を明示し、分析、要約、音声その他のコンテンツにはAI生成コンテンツが含まれます。本サービスは、取り上げるポッドキャスト、配信者、プラットフォーム、企業その他の第三者と、明示した場合を除き提携、承認または後援の関係にありません。

2. アカウント

一部の機能にはAppleまたはGoogleによるサインインが必要です。ユーザーは、自己のアカウントを適切に管理し、不正利用に気付いた場合は速やかに当社へ連絡するものとします。アカウント情報の取扱いはプライバシーポリシーに従います。

3. 使用許諾

当社は、本規約および適用されるストアの利用規則に従うことを条件に、ユーザーが所有または管理する対応端末で本アプリを個人的かつ非商業的に使用するための、限定的、非独占的、取消可能かつ譲渡不能なライセンスを付与します。Apple製品では、Apple Media ServicesのUsage Rulesで認められる範囲（ファミリー共有または一括購入が適用される場合を含みます）に限られます。明示的に付与されない権利は当社または各権利者が留保します。

4. 禁止事項

ユーザーは、適用法令により明示的に認められる場合を除き、次の行為をしてはなりません。

• 本アプリまたはコンテンツの複製、転載、再配布、公衆送信、販売、貸与、再許諾または派生物の作成
• 本アプリのリバースエンジニアリング、逆コンパイル、ソースコードの抽出、改変または技術的制限の回避
• 自動取得、スクレイピングその他本サービスに過度な負荷をかける方法でのアクセス
• 不正アクセス、なりすまし、権利侵害、違法行為または本サービスの運営を妨げる行為

5. コンテンツと知的財産

本アプリ、独自の分析、編集、音声、文章、デザインおよびソフトウェアに関する権利は、当社または正当な権利者に帰属します。第三者の番組名、商標、音声、発言その他の素材は各権利者に帰属します。本サービスが第三者素材を引用する場合、出典を明示し、適用法上認められる引用、批評、報道、フェアユースその他の範囲で取り扱います。出典表示は、ユーザーに当該素材を再配布する権利を付与するものではありません。ユーザーは、私的利用など法令で許される範囲を超えて本サービスのコンテンツを再配布できません。

6. AI生成コンテンツと情報の性質

本サービスのAI生成またはAI支援コンテンツには、誤り、欠落または古い情報が含まれることがあります。当社は、その正確性、完全性、最新性または特定目的への適合性を保証しません。重要な判断には、リンク先や明示された原典を確認してください。

本サービスは一般的な情報提供および論評を目的とし、投資、金融、法律、税務その他の専門的助言ではありません。投資判断その他の行為は、必要に応じて資格を有する専門家に相談のうえ、ユーザー自身の責任で行ってください。

7. 月額自動更新サブスクリプション

• 内容・期間・価格: 有料機能は、毎月自動更新されるサブスクリプションとして提供されます。具体的な利用特典、価格、通貨、請求期間は購入画面およびApp StoreまたはGoogle Playの表示に従い、ストア表示が優先します。
• 決済: 購入確認時にApple IDまたはGoogle Playアカウントへ課金されます。購入の検証と利用権管理にはRevenueCatを利用します。
• 自動更新: 現在の期間が終了する24時間前までに解約しない限り、サブスクリプションは同じ月額期間で自動更新されます。更新料金は、現在の期間終了前24時間以内にストアアカウントへ請求されます。
• 解約: 購入後は、iOSではApple IDの「サブスクリプション」、AndroidではGoogle Playの「お支払いと定期購入」から管理・解約できます。アプリのアンインストールまたはアカウント削除だけでは解約されません。
• 解約後・返金: 原則として解約後も支払済み期間の終了まで利用できます。返金、即時解約、日割りおよび価格変更は、購入したストアの規約と適用法令に従います。
• 無料体験等: 無料体験または導入価格が提示される場合、その期間、移行後の価格および条件は購入画面に表示され、期間終了前に解約しない限り表示された有料月額プランへ自動移行します。

8. 外部サービスと第三者規約

本サービスには、ポッドキャスト配信元、原典、Apple、Google、RevenueCat、Firebase等の外部サービスへのアクセスまたは連携が含まれることがあります。ユーザーは、端末、通信サービスおよび外部サービスに適用される第三者の規約を遵守するものとします。当社は第三者サービスを管理せず、その提供、内容、正確性、継続性または安全性を保証しません。

9. 変更・中断・終了

当社は、合理的に必要な場合、本サービスの全部または一部を変更、中断または終了できます。サブスクリプションの重要な不利益変更には、適用法令およびストア規則に従って対応します。ユーザーが本規約に重大に違反した場合、当社は利用を停止またはアカウントを終了できます。本規約終了後も、知的財産、免責、責任制限および紛争に関する条項はその性質上必要な範囲で存続します。

10. 保守・サポート

当社は、適用法令上必要な範囲で本アプリの保守およびサポートに責任を負います。AppleおよびGoogleは、本アプリの保守またはサポートを提供する義務を負いません。

11. 保証の否認

適用法令で認められる最大限の範囲で、本サービスは「現状有姿」かつ「提供可能な範囲」で提供されます。当社は、明示または黙示を問わず、商品性、特定目的適合性、権利非侵害、常時利用可能性またはエラーがないことを保証しません。消費者保護法その他の強行法規に基づき排除できない保証や権利は制限されません。

Apple経由で取得した本アプリが適用される保証に適合しない場合、ユーザーはAppleに通知でき、Appleは本アプリについて支払われた購入価格がある場合にこれを返金します。適用法令で認められる最大限の範囲で、Appleはそれ以外の保証義務を負わず、その他の保証不適合に関する責任は当社が負います。

12. 製品に関する請求・知的財産権の請求

本アプリまたはその保有・利用に関する製造物責任、法令適合性、消費者保護、プライバシーその他の請求への対応は、AppleまたはGoogleではなく当社が、適用法令に従って行います。本アプリまたはその保有・利用が第三者の知的財産権を侵害するとの請求についても、当社が調査、防御、和解および解決に責任を負います。

13. 法令遵守

ユーザーは、自己に適用される法令を遵守するものとし、米国政府の禁輸対象国または「テロ支援国」に所在せず、米国政府の禁止・制限当事者リストに掲載されていないことを表明します。

14. 責任の制限

適用法令で認められる範囲で、当社は、予見可能性の有無を問わず、本サービスに関連して生じた間接損害、特別損害、付随的損害、結果的損害または逸失利益について責任を負いません。ただし、当社の故意または重過失による場合、消費者契約法その他の強行法規により制限が認められない場合はこの限りではありません。本条は、法令上制限できないユーザーの権利を制限しません。

15. 本規約の変更

当社は、サービスまたは法令の変更等に応じて本規約を改定できます。重要な変更は本サービス内または適切な方法で事前にお知らせし、必要な場合は同意を取得します。変更後も本サービスを利用した場合、適用法令上認められる範囲で変更後の規約に同意したものとみなします。

16. 準拠法・管轄

本規約は日本法に準拠します。本規約または本サービスに関する紛争については、強行法規に別段の定めがある場合を除き、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

17. Appleに関する追加条項

iOS版について、本規約はユーザーと当社との間でのみ成立し、Appleとの間では成立しません。本アプリおよびその内容については当社が単独で責任を負います。Appleおよびその子会社は本規約の第三者受益者であり、ユーザーの同意により、Appleは第三者受益者として本規約をユーザーに対して執行する権利を有します。

Terms of Use (End User License Agreement)

These Terms are an agreement between VEQ LIMITED LIABILITY CO. ("we," "us," "our," or the "Licensor") and each user of Gutenberg Lab ("you") governing the app and related services (collectively, the "Service"). By downloading, installing, or using the app, you agree to these Terms.

1. The Service

The Service is an AI-powered analysis publication covering U.S. technology podcasts through a daily morning radio program and briefing. We identify original sources, and our analysis, summaries, audio, and other materials include AI-generated content. Unless expressly stated, the Service is not affiliated with, endorsed by, or sponsored by the podcasts, publishers, platforms, companies, or other third parties it covers.

2. Accounts

Some features require Sign in with Apple or Google. You are responsible for appropriately securing your account and must promptly contact us if you become aware of unauthorized use. Our Privacy Policy governs our handling of account information.

3. License

Subject to these Terms and applicable store usage rules, we grant you a limited, non-exclusive, revocable, non-transferable license to use the app for personal, non-commercial purposes on compatible devices that you own or control. On Apple products, the license is limited to uses permitted by the Usage Rules in the Apple Media Services Terms and Conditions, including Family Sharing or volume purchasing where applicable. We and the respective rights holders reserve all rights not expressly granted.

4. Restrictions

Except where applicable law expressly permits, you may not:

• Copy, republish, redistribute, publicly transmit, sell, rent, sublicense, or create derivative works from the app or its content;
• Reverse engineer, decompile, derive source code from, modify, or circumvent technical limitations of the app;
• Use automated extraction, scraping, or any method that places an unreasonable load on the Service; or
• Gain unauthorized access, impersonate another person, infringe rights, act unlawfully, or interfere with operation of the Service.

5. Content and Intellectual Property

We or our licensors own the app and our original analysis, editorial work, audio, text, designs, and software. Third-party program names, trademarks, audio, statements, and other materials remain the property of their respective owners. When the Service quotes third-party material, it identifies the source and does so within the scope of quotation, criticism, news reporting, fair use, or other uses permitted by applicable law. Source attribution does not grant you a right to redistribute that material. You may not redistribute Service content beyond private use or another use permitted by law.

6. AI-Generated Content and Informational Purpose

AI-generated or AI-assisted content may contain errors, omissions, or outdated information. We do not guarantee its accuracy, completeness, timeliness, or fitness for a particular purpose. Check the linked or identified original sources before making important decisions.

The Service provides general information and commentary only. It is not investment, financial, legal, tax, or other professional advice. Make investment and other decisions at your own responsibility and consult a qualified professional where appropriate.

7. Monthly Auto-Renewing Subscription

• Benefits, term, and price: Paid features are offered through a monthly auto-renewing subscription. The specific benefits, price, currency, and billing period are shown on the purchase screen and by the App Store or Google Play. The store display controls.
• Payment: Your Apple ID or Google Play account is charged when you confirm the purchase. We use RevenueCat to validate purchases and manage entitlements.
• Automatic renewal: Your subscription automatically renews for another monthly period unless canceled at least 24 hours before the end of the current period. Your store account is charged for renewal within 24 hours before the current period ends.
• Cancellation: After purchase, manage or cancel on iOS in your Apple ID Subscriptions settings or on Android in Google Play under Payments & subscriptions. Uninstalling the app or deleting your account does not cancel the subscription.
• After cancellation and refunds: You ordinarily retain access through the end of the paid period. Refunds, immediate cancellation, prorating, and price changes are governed by the store of purchase and applicable law.
• Trials and introductory offers: If a trial or introductory offer is displayed, its duration, post-offer price, and conditions will appear on the purchase screen. Unless canceled before the offer ends, it converts automatically to the displayed paid monthly plan.

8. External Services and Third-Party Terms

The Service may provide access to or integrate with external services, including podcast publishers, original sources, Apple, Google, RevenueCat, and Firebase. You must comply with third-party terms applicable to your device, data service, and any external service. We do not control and do not guarantee the availability, content, accuracy, continuity, or security of third-party services.

9. Changes, Suspension, and Termination

We may change, suspend, or discontinue all or part of the Service where reasonably necessary. We will address material adverse changes to a subscription as required by applicable law and store rules. We may suspend access or terminate an account for a material violation of these Terms. Provisions concerning intellectual property, disclaimers, limits of liability, and disputes survive termination to the extent their nature requires.

10. Maintenance and Support

We are responsible for maintenance and support for the app to the extent required by applicable law. Neither Apple nor Google has any obligation to provide maintenance or support for the app.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available." We disclaim express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. This disclaimer does not limit warranties or rights that cannot be excluded under consumer-protection or other mandatory law.

If the app obtained through Apple fails to conform to an applicable warranty, you may notify Apple, and Apple will refund any purchase price paid for the app. To the maximum extent permitted by applicable law, Apple has no other warranty obligation for the app, and we are responsible for other claims attributable to a failure to conform to a warranty.

12. Product and Intellectual-Property Claims

We, not Apple or Google, are responsible under applicable law for addressing claims relating to the app or your possession and use of it, including product-liability, legal or regulatory compliance, consumer-protection, and privacy claims. If a third party claims that the app or your possession and use of it infringes intellectual-property rights, we are responsible for investigating, defending, settling, and discharging that claim.

13. Legal Compliance

You must comply with laws applicable to you and represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

14. Limitation of Liability

To the extent permitted by applicable law, we are not liable for indirect, special, incidental, consequential, or lost-profit damages arising from the Service, whether or not foreseeable. This exclusion does not apply to our intentional misconduct or gross negligence, or where liability cannot be limited under the Consumer Contract Act or other mandatory law. Nothing in this section limits rights that cannot legally be limited.

15. Changes to These Terms

We may revise these Terms to reflect changes to the Service or the law. We will give advance notice of material changes in the Service or by another appropriate method and obtain consent where required. To the extent permitted by applicable law, continued use after a change becomes effective constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Unless mandatory law provides otherwise, the Tokyo District Court has exclusive jurisdiction as the court of first instance over disputes relating to these Terms or the Service.

17. Additional Apple Terms

For the iOS version, these Terms are between you and us only, not Apple. We alone are responsible for the app and its content. Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.
